1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the websites, platforms, and services operated by Empower Local, Inc. DBA "EmpowerLocal" ("EmpowerLocal," "we," "our," or "us"), including empowerlocal.com, localmedia.store, and any associated subdomains, applications, or tools (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Platform.
2. About EmpowerLocal
EmpowerLocal operates infrastructure that connects advertisers with local media publishers across the United States. Our Platform provides tools and services for advertising campaign planning, publisher discovery, and media coordination through three integrated capabilities:
- LocalMedia.store — a marketplace for discovering and connecting with local media publishers
- Publisher Storefronts — individual publisher profiles with advertising inventory, audience data, and booking tools
- Regional and Vertical Hubs — coordinated groups of publishers organized by geography or media category for collective campaign access
EmpowerLocal acts as a platform facilitator and service provider connecting advertisers, publishers, and authorized partners. We are not a publisher and do not produce editorial content.
3. User accounts
Certain features of the Platform may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
You must be at least 18 years old to create an account or use the Platform.
4. Platform services
4.1 LocalMedia.store marketplace
LocalMedia.store enables advertisers to discover local media publishers, review advertising inventory and audience information, and coordinate campaigns. Publisher profiles on the marketplace may include verified storefronts managed by partnered publishers as well as platform-generated listings compiled from publicly available information. Publishers may claim and verify their storefronts at any time by contacting EmpowerLocal.
4.2 Publisher storefronts
Verified publisher storefronts display advertising inventory, audience data, media kits, and booking capabilities as provided by the publisher. EmpowerLocal does not guarantee the accuracy of information provided by publishers and is not responsible for the editorial content, policies, or practices of any publisher.
4.3 AI-assisted tools
The Platform may include AI-assisted tools, including but not limited to our campaign planning assistant, that provide information, recommendations, and automated functionality based on available data. While we strive for accuracy, AI-generated outputs are informational in nature and do not constitute binding commitments, warranties, or guarantees. Final terms for any campaign or business relationship must be confirmed through formal agreements.
4.4 Hub services
EmpowerLocal may operate regional or vertical hubs that organize groups of publishers for collective advertising opportunities. Hub participation is governed by separate agreements between EmpowerLocal and participating publishers and partners. Advertiser access to hub inventory is facilitated through the Platform and subject to availability.
5. Campaign inquiries and transactions
When you submit a campaign inquiry through the Platform, you are requesting information and proposals. Inquiries are non-binding. Following your inquiry, EmpowerLocal will coordinate with publishers to develop campaign proposals including pricing, inventory, and terms. Campaigns become binding only when you accept a formal proposal in writing and agree to the associated payment terms.
Payment terms, including deposits, payment schedules, and accepted methods, will be specified in your campaign proposal or separate advertiser agreement. Cancellation terms and any applicable refund policies will also be specified in your campaign proposal.
EmpowerLocal does not guarantee specific campaign results, impressions, conversions, or outcomes. Campaign performance depends on factors outside our control, including publisher execution, audience behavior, and market conditions.
6. Acceptable use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
- Provide false, misleading, or inaccurate information
- Attempt to gain unauthorized access to the Platform, other user accounts, or any systems or networks connected to the Platform
- Scrape, copy, reproduce, or systematically extract data from the Platform without our express written consent
- Interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available
- Use the Platform to transmit malware, viruses, or other harmful code
- Circumvent the Platform to transact directly with publishers or partners you discovered through the Platform during the term of any active campaign or agreed exclusivity period
- Use automated tools, bots, or scripts to access or interact with the Platform except as expressly permitted
7. Intellectual property
7.1 Platform ownership
EmpowerLocal owns the Platform, including all software, design, functionality, trademarks, service marks, logos, and content created by EmpowerLocal. Nothing in these Terms grants you any right, title, or interest in the Platform except the limited right to use it in accordance with these Terms.
7.2 Publisher content
Publishers retain ownership of their trademarks, logos, media kits, audience data, and editorial content. Publisher names, logos, and content displayed on the Platform are the property of their respective owners and are used for identification and campaign planning purposes.
7.3 User content
If you submit content to the Platform (such as campaign briefs, creative assets, or feedback), you retain ownership of that content but grant EmpowerLocal a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to provide our services.
8. Confidentiality
In the course of using the Platform, you may receive access to confidential information belonging to EmpowerLocal, publishers, or other users, including but not limited to pricing, audience data, campaign strategies, and business terms. You agree to maintain the confidentiality of such information and to use it only in connection with your authorized use of the Platform. This obligation survives termination of your use of the Platform.
9. Privacy and data
Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and share information. By using the Platform, you consent to our data practices as described in the Privacy Policy.
The Platform may use cookies, tracking technologies, and third-party analytics tools to improve functionality and user experience. You can manage your cookie preferences through your browser settings, though some Platform features may not function properly if cookies are disabled.
10. Third-party services and links
The Platform may contain links to third-party websites, services, or content that are not owned or controlled by EmpowerLocal. We are not responsible for the content, privacy practices, or availability of any third-party services. Your interactions with third-party services are governed by those services' own terms and policies.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. EMPOWERLOCAL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT RESULTS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE OR RELIABLE.
EmpowerLocal does not endorse or guarantee the quality, reliability, or suitability of any publisher, advertiser, or partner accessible through the Platform. Any reliance on information provided through the Platform is at your own risk.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPOWERLOCAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO EMPOWERLOCAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless EmpowerLocal, its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
14. Changes to terms
We may modify these Terms at any time by posting the updated Terms on the Platform. We will indicate the date of the most recent update at the top of these Terms. Your continued use of the Platform after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.
15. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. You may stop using the Platform at any time. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property, confidentiality, disclaimers, limitations of liability, and indemnification.
16. Dispute resolution
The parties agree to seek mediation as the preferred method of dispute resolution for any disagreement arising under these Terms. In the event mediation is unsuccessful and arbitration is pursued, the parties agree to abide by the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Services, Inc. ("JAMS") before three arbitrators appointed in accordance with the Rules. The parties agree to equally share the costs of arbitration.
17. Force majeure
Neither party shall be liable for any failure or delay in performing obligations under these Terms if such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government actions, labor disputes, power or internet failures, or other force majeure events.
18. Governing law
These Terms and your use of the Platform are governed by the laws of the State of Tennessee, United States of America, without regard to conflict of law provisions. Any disputes arising from these Terms or use of the Platform that are not resolved through the dispute resolution process described above shall be resolved in the courts of the State of Tennessee.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
20. Entire agreement
These Terms, together with the Privacy Policy and any separate agreements you may enter into with EmpowerLocal (such as publisher network agreements, advertiser agreements, or partner agreements), constitute the entire agreement between you and EmpowerLocal regarding your use of the Platform.
